What we do

Real Estate

The focus of our tax advisory firm is on real estate tax law. It is our goal to improve and to guarantee the profitability of our clients’ investments in the long term by ensuring comprehensive and ongoing advice on all tax matters. Even though we consider ourselves to be a “young” firm, our employees contribute a high degree of experience advising on tax matters, in particular for clients in the real estate industry.

These activities begin right at the start of preparing for investments through designing a tax model, preparing an expert opinion on the subject of the investment within the framework of a tax due diligence and drafting contracts by taking tax law aspects into consideration. As a rule, this is where the course is set for a successful investment. It is of utmost importance at this stage to identify the tax risks of an investment and to optimize the investment structure from a tax perspective (e.g. German trade tax and withholding tax on dividends from inbound investments). Regardless of the nature of the subject of an investment (share deal or asset deal) we either cooperate closely with our clients’ lawyers or in addition to the tax advice we, upon request, offer the whole range of corporate legal advice through our cooperation partners, with whom we have worked for many years.
After a successful investment has been made we are pleased to handle the ongoing tax duties of portfolio holders and property developers. These activities include representing our clients vis-a-vis the German fiscal authorities, e.g. registering companies or natural persons for tax purposes, in particular performing recurring tasks such as compiling financial statements, regular financial reporting and preparing all required tax returns. We also offer payroll accounting services through one of our cooperation partners.
Taking care of all of these compliance duties is usually regarded as a bothersome but unavoidable evil. We handle them along with an ongoing monitoring of our clients’ needs. Frequently, tax risks may also arise in neatly designed structures when only minor changes in the legal framework or in the client’s activities are made (e.g. unrecognised separation of business activities, forming a single entity relationship for value-added tax purposes, commercial “infection”, detrimental indirect share transfers) or when applicable laws change (e.g. introduction of the interest deduction ceiling rule). Here a close cooperation between clients and their advisors often provides opportunities for dealing with dangerous developments at the right time. Accordingly, we may opt for our clients to improve existing structures. This includes guiding the sale of an investment by taking tax issues into consideration.
In addition to our activities for investors, we assist property developers in structuring real estate investments either as real property investments or as real estate funds in accordance with tax law and together with our cooperation partners who provide comprehensive legal advice.
Our clients include major commercial space lessors/sellers, but also medium-sized and small portfolio holders and real estate agents specialised in residential and commercial properties. Of course, we also assist private persons acquiring real estate, e.g. in connection with their personal tax returns. With our international clients, we communicate in English as a matter of course.

Other Industries

In addition to our focus on real estate we also assist clients in various other industries, e.g. free lancers or those self-employed (doctors, lawyers and notaries) as well as other service providers.
